It was incorporated in 1840 to provide a rail connection between Fitchburg, Massachusetts and Worcester. Service begain on February 11, 1850, running from 18 miles from Fitchburg through Leominster and Sterling where it connected with the Worcester and Nashua Railroad at Sterling Junction. In 1869 the Fitchburg and Worcester Railroad was merged into the Boston, Clinton and Fitchburg Railroad. The line would later become part of the Old Colony Railroad network.
